Typographical Errors
In the event that a MemorySuppliers.com product is mistakenly listed at an incorrect price, MemorySuppliers.com reserves the right to refuse or cancel any orders placed for product listed at the incorrect price. MemorySuppliers.com reserves the right to refuse or cancel any such orders whether or not the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is cancelled, MemorySuppliers.com will issue a full credit back to your credit card account in the amount of the incorrect price. MemorySuppliers.com is not responsible for typographical or photographical errors. Prices and specifications are subject to change without notice.

Term; Termination

These terms and conditions are applicable to you upon your accessing the site and/or completing the registration or shopping process. These terms and conditions, or any part of them, may be terminated by MemorySuppliers.com without notice at any time, for any reason. Neither the course of conduct between the parties nor trade practice shall act to modify any of these terms and conditions. MemorySuppliers.com may assign its rights and duties under this Agreement to any party at any time without notice to you.
An accompanying Commercial Invoice, required by U.S. Customs will show a "Declared" Value that may not be equal to the actual value of the items.

MemorySuppliers.com does not and cannot review all communications and materials posted to or created by users accessing the site, and are not in any manner responsible for the content of these communications and materials. Return and Exchange Policy

MemorySuppliers.com has the right to reject damaged goods and decline any return. All items sent for a return must have a proper Return Merchandise Authorization (RMA) form accompanying the shipment.  If the RMA form is missing MemorySuppliers.com reserves the right to decline a return.  The 60 day money back guarantee is not applicable to custom imprinted merchandise.  Refunds, exchanges and store credits are processed only after an issued RMA form is received, the purchased items are received and the customer specifies what type of return he/she would like to process. Refunds are judged based on receipt of the item and not when shipped out. All returns for credit must be in original condition, include original packing material, manuals and all other accessories provided upon original delivery.  All returns may be subject to a 30% re-stocking fee.  All expenses incurred by the customer for shipping the item without the agreement from MemorySuppliers.com will not be reimbursed. (For International orders and orders outside of Continental United States, customer covers shipping for all return transactions).  For product return authorization Form please contact your account manager.

Product Price Changes

In the event of a price reduction of an item recently ordered, MemorySuppliers.com will only credit a difference to an order if the order has not been processed. Any price reduction will not be refunded if the order has already been started on.

Indemnification

You agree to indemnify, defend, and hold harmless MemorySuppliers.com, its officers, directors, employees, agents, licensors and suppliers (collectively the "Service Providers") from and against all losses, expenses, damages and costs, including reasonable attorneys' fees, resulting from any violation of these terms and conditions or any activity related to your account (including negligent or wrongful conduct) by you or any other person accessing the site using your Internet account.

Disclaimers:

-Lifetime Warranty 

Products sold by MemorySuppliers.com are covered by Lifetime warranty replacement directly through MemorySuppliers.com.  Memorysuppliers.com will exchange products that will become defective due to normal wear and tear during normal and appropriate application of the product. Shipping expense during the warranty transactions are to be covered by the customer. If the product is found defective within 30 Days of its receipt then shipping is covered by MemorySuppliers.com.  If the product is no longer available through manufacturer, MemorySuppliers.com will replace the product for the one with same or greater features and functionality, free of charge (excluding the shipping charges).  MemorySuppliers.com reserves the right to deny any replacement of the products, including but not limited to the following reasons: loss of product, physical damage that was not caused by wear and tear, misuse of products.  Physical damage must be reported within 7 business days of the receipt of products in case for MemorySuppliers.com to make a claim and exchange the products.

Simply show us any verifiable proof, i.e. quote, online link, or an advertisement and we will instantly beat it by 10% difference of the advertised price.  Our Lowest Price Guarantee requires the product be identical in color, quality, packaging, warranty and offer a similar return policy. The competitor's price must be current and verifiable on the Internet. Competitor's coupons or promotions for first time or one time use are not accepted for our price match program. -Turn Around Times and Guaranteed In-Hand Delivery Date:

 - 10-15 day standard delivery for Custom USB Products and most other Custom items.
 - 7-10 day standard delivery for Non-Custom USB Products and most other Non-Custom items.
 - 7, 4, 2 day and 20 Hour Rush Service is available with a "Guaranteed In-Hand Delivery Date".
 - Same Day, Free Shipping and Free Shipping Both Ways do not apply to custom imprinted merchandise.
 - Delivery times may vary during the holiday seasons.  Please consult with your Account Manager.  Days are counted by Business Days: Monday—Friday.  Saturday and Sunday are not considered to be business days.  Guaranteed In-Hand Date applies to Rush Orders only; delivery date is not guaranteed for non-rush orders. 
- 20 Hour Rush Service: Artwork must be submitted in Vector File Only, if Artwork is submitted in any other format an additional 24 hours may be required.  Orders under 250 units must be finalized (artwork submitted and proof approved) by 3PM CST; order over 250 units must be finalized by 11AM CST.  Memorysuppliers.com reserves the right to void the delivery guarantee if any of the above stated requirements are not met. 
- Guaranteed In-Hand Delivery Date:  Invoices that do not display guaranteed in-hand date will not be considered as Rush Orders.  In case of a missed guaranteed in-hand delivery date customer will receive a full refund for Rush Services that were applied.  Once the merchandise is delivered to the shipping address that is indicated on the Invoice, the order is considered to be complete.  Memorysuppliers.com will not assume guaranteed in-hand delivery date liability in the case of a discrepancy with the provided shipping address by the client.  Memorysuppliers.com will not be held liable for weather related delays. If we foresee a weather delay on our end, we will contact you and arrange an alternate shipping date.  Merchandised that was delivered passed the Guaranteed Delivery Date must be returned back to Memory Suppliers in full value to be eligible for a refund.  

-No Hidden Fees

What you see is what you get! By using the Internet's power for managing information to decrease the costs associated with order processing, manufacturing and fulfillment, Memorysuppliers.com is able to display prices under each line item.  We believe in all-in pricing, and display an up to date price quote in the order tab of each item. The price you see on the screen is the price you pay.  Additional pricing may apply for additional services; all final prices must be confirmed with the account manager at the time of the order and will be displayed as final on the invoice. 

-Data Pre-Load

Please note, Memory Suppliers, Inc. will not be liable for any data pre-load conflicts, such include but not limited to: missing files, incorrect links, corrupted links or files, etc. It is strictly the client's responsibility to double check that all the files loaded properly, paths are correct and everything works as per requirement.  Data Pre-Load is an additional service that Memory Suppliers, Inc. offers and is not included in "all-inclusive" pricing of merchandise.  If there are any questions please contact your Account Manager.

-Cancellation Policy

Orders for USB Flash Drives and other custom imprinted products must be cancelled verbally with one of MemorySuppliers.com account managers within the same business day as the order was placed.  Orders may be cancelled the following business day and/or prior to their shipment, but will be subject to a 30% cancellation fee.  The cancellation policy does not apply to Rush Orders.  Once a Rush Order (Orders that are due within 20 Hours -14 days) is placed it cannot be canceled under any circumstances.  

Phone Orders

By placing an order over the phone you ("Customer") automatically agree to accept MemorySuppliers.com Terms and Conditions. 
Purchase Agreement and Payments
All Credit Card transactions will be processed on the same date of the order.  By accepting delivery of any product sold from MemorySuppliers.com you ("Customer") agree to be bound by the terms and conditions listed. You and MemorySuppliers.com agree that the following terms and conditions are the exclusive terms governing the sales transaction between Customer and MemorySuppliers.com. Any attempt to alter, supplement, modify or amend these terms and conditions by the Customer will be considered a material alteration of this agreement and, therefore, are null and void. In addition, these terms and conditions are subject to change at any time, without prior written notice. Therefore, please check these terms and conditions carefully each time you place an order with or accept delivery of any goods from MemorySuppliers.com.

Sales Tax

Sales tax is only required for orders shipping into Illinois. Therefore all orders shipping into Illinois will be charged applicable sales tax according to current tax rate. Please note that the sales tax for Illinois orders is calculated based upon the total price of the order, and include shipping and handling. The tax imposed by the state on shipping and handling is part of the state sales tax, not a separate tax.

Duty Tax

All duties and taxes for orders outside of United States are to be paid by an appropriate party.  MemorySuppliers.com is not responsible for any billing imposed by any state outside of United States.  If products are being shipped outside of United States, the recipient of the product is fully responsible for all the applicable duties and taxes.  If merchandise is refused at the time of delivery, it will be returned to MemorySuppliers.com where it will be held for 30 Days.  If Goods are not claimed within 30 Days of receipt at the warehouse, MemorySuppliers.com holds the right to Cancel the order and charge a 25% restocking fee. 

Product Testing

Prior to shipment, all of the products pass a 3-Step Quality Control: 1) Prior to assembly, each memory chip is carefully examined and tested; 2) each unit of the customized order is examined for proper printing, alignment and pre-load content accuracy; 3) after the drives have been assembled, they are re-tested, packaged and shipped.  Please note that on a rare occasion and due to a desired delivery date by the Customer some of the items may not be tested.  3-Step Quality Control must be confirmed with the account manager at the time of an order. 

Privacy Policy

MemorySuppliers.com respects and values your privacy. We will not under any circumstances sell or release your information to anyone except as outlined in our privacy policy. All of the information obtained from our website will be used for processing purposes only. The only e-mails you will receive from MemorySuppliers.com are: promotional coupons, updates to any recent orders and/or returns.

Fair Credit Billing Act

 We guarantee that every online transaction you make will be 100% safe. Under the Fair Credit Billing Act, your bank cannot hold you liable for more than $50.00 for fraudulent charges. If your bank does hold you liable for $50.00, MemorySuppliers.com will cover the entire liability for you, up to the full $50.00. MemorySuppliers.com will only cover this liability if the unauthorized use of your credit card resulted through no fault of your own from purchases made while using our secure server. In the event of unauthorized use of your credit card, you must notify your credit card provider in accordance with its reporting rules and procedures.

Contract Agreement

These terms and conditions, together with MemorySupplies.com invoice regarding the products ordered by Customer, are the complete and exclusive agreement between MemorySuppliers.com and Customer, and they supersede all prior or contemporaneous proposals, oral or written, understandings, representations, conditions, warranties, and all other communications between MemorySuppliers.com and Customer relating to the subject products. This agreement may not be explained or supplemented by any prior course of dealings or trade by custom or usage.
